Affiliate Program Terms & Conditions
(Covering Consistent Clients and Wellness Social Club)

These terms and conditions govern the way in which we supply our Affiliate Program (“the Program”) for both Consistent Clients and The Wellness Social Club (collectively, “the Programs”) to you.
Please read these terms carefully before registering as an Affiliate. These terms tell you who we are, how we will provide the Program, how you and we may change or end the contract, what to do if there is a problem, and other important information. All rights not expressly granted in these terms are hereby reserved.
1. Parties
This Affiliate Agreement (the “Agreement”) is entered into on the date you register as an Affiliate (the “Effective Date”), by and between Tama Agency Limited, with an address of 167-169 Great Portland Street, London, W1W 5PF (“the Company”), and you (“the Affiliate”), collectively referred to as “the Parties.”
2. Purpose
The Company is in the business of Business Coaching and Consulting. The Company is desirous of gaining additional clients for its Programs. The Affiliate is in a position to refer potential clients to the Company.
3. Referral Arrangement
Upon the Effective Date of this Agreement, the Affiliate may, from time to time, refer potential clients to the Company. The Company will pay the Affiliate a fee or credit for eligible referrals, as detailed in Section 4 (Compensation).
4. Compensation
A. Consistent Clients Referrals
The Company shall pay the Affiliate a 12.5% commission of the Net Sale Subscription Price (approx £8.33) for each successful weekly subscription payment made by the referred client, up to a maximum of 12 payments (approx £99.96).
Where the referred client chooses a quarterly plan, the Affiliate will receive a 12.5% commission on the first payment only (approx £75.00).
If the referred client fails to make four (4) weekly subscription payments, the referral will be deemed unsuccessful, and no commission will be paid.
Commission will only be paid once all client payments have been received in full and cleared by the Company.
The Company shall pay the Affiliate within ninety (90) days of the referred client completing all required payments or upon the referred client cancelling after at least four (4) successful payments.
No commission is payable for refunded or unpaid invoices.
B. The Wellness Social Club Referrals
When an Affiliate refers a new member to The Wellness Social Club (“WSC”):
The referred friend receives 50% off their first month.
The Affiliate receives £20 off their next renewal (or an equivalent £20 account credit).
Where the Affiliate is on an annual payment plan, the £20 benefit will be issued as a £20 payment via PayPal, within sixty (60) days of the referred member’s successful first payment.
Only one £20 reward is available per new referred member. The Company will not issue duplicate credits for the same referral.
C. General Payment Terms
All affiliate payments or credits will be processed via PayPal under a “Goods & Services” transfer, not “Friends & Family.”
The Affiliate is responsible for any PayPal transaction fees incurred.
The Affiliate must have an active PayPal account to receive payment.
Where an Affiliate has an outstanding payment plan balance with the Company, any earned compensation will be held until their account is paid in full.
5. Term
This Agreement shall commence upon the Effective Date and continue until terminated by either Party.
6. Confidentiality
During the course of this Agreement, it may be necessary for the Company to share proprietary or confidential information with the Affiliate. The Affiliate agrees not to disclose or use such information for personal gain. This obligation survives termination of the Agreement.
7. Termination
Either Party may terminate this Agreement upon 14 days’ written notice.
Upon termination, the Company shall pay any outstanding compensation due for valid referrals made prior to termination.
8. Representations and Warranties
Each Party represents that it is fully authorized to enter into this Agreement and that performance will not violate any law, regulation, or third-party rights.
9. Indemnity
Each Party agrees to indemnify and hold the other harmless from any losses, damages, or expenses arising from the negligent act or breach of this Agreement by the indemnifying Party.
10. Limitation of Liability
UNDER NO CIRCUMSTANCES SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR BUSINESS, EXCEPT AS RESULTING FROM NEGLIGENCE OR BREACH.
11. Disclaimer of Warranties
The Affiliate does not guarantee that referrals will lead to sales, profits, or specific business results.
12. Severability
If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
13. Waiver
Failure by either Party to enforce any right or provision shall not constitute a waiver of future enforcement of that right or provision.
14. Legal Fees
In the event of legal action, the prevailing Party shall be entitled to recover reasonable legal costs and fees.
15. Legal and Binding Agreement
This Agreement is legal and binding between the Parties and enforceable under English law.
16. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
17. Entire Agreement
This Agreement constitutes the entire understanding between the Parties. Any amendments must be made in writing and signed by both Parties.
